The www.musicdemocracy.com website is offered by MUSIC DEMOCRACY. Postal Address: 165 Avenue de Bretagne Bâtiment F – Technopole Lille Métropole 59000 Lille, France. Music Democracy S.A.S. is a private limited company with a capital of 37,000.00 Euros, registered under the number n° 504 794 710 RCS Lille.
By completing the form published online by Music Democracy and by ticking the box "I have read and accept the terms and general conditions of the musicdemocracy.com website" you are giving your unconditional consent to the Terms and Conditions here present.
Moreover, consulting or accessing the services provided by “musicdemocracy.com” implies a full and complete acceptance of the present Terms and General Conditions of Use.
Music Democracy reserves the right to change the Terms of Use at its discretion; a period of 30 (thirty) days will be given to the Users before new Terms and Conditions enter into force, and Users are not liable during this period. Such changes to the Terms of Use shall be effective upon being posted on the musicdemocracy.com website.
Hereafter, the “Site” shall designate the “musicdemocracy.com” website.
Hereafter, the “User” shall designate any person accessing services on the “musicdemocracy.com” website.
Hereafter, the “Musician”, or the “Artist”, shall designate the person responsible for opening an account on the Site on behalf of the musician. This person shall be responsible, notably, for the correct transfer of sums received to the respective rights-holders (author, publisher, producer, etc.) according to the contracts existing between those parties. The musician must specify if he’s under contract with a collection society (SACEM, PRS, GEMA, ASCAP,…). At the very least he has got to mention the name of the author/composer of every track uploaded on the site. If he is not affiliated to a collection society, he must have the right holders agreement beforehand for all the tracks put on-line.
The use of any service associated to the opening of an account on “musicdemocracy.com” is reserved to such people who have the rights and the necessary capacity to do so, and thereby to those who have the capacity to accept the present Terms and Conditions of Use.
Article 1 Statement
These General Terms and Conditions of Use shall govern in precise terms the use of services on the “musicdemocracy.com” website (music transfer, blog, forum, chat room, email,…).
The “musicdemocracy.com” website enables the User to place musical tracks, or parts of tracks, onto the website available for either free or fee-paying download. Hereafter, the “Music” shall designate the above musical tracks placed on the Site.
The Music is made available on the Site by its author (or authors), who by doing so wishes to promote his or her music on line thanks to the Site.
Article 2 Details of services provided
The Site is freely accessible on line without pre-registration, but with limited services only. The User may simply and freely listen to musical tracks and watch video footage distributed on the Site.
Registration on the Site enables the User, whether as a citizen, a musician or a partner, to make use of musical transfer services, to download musical material, to listen to musical tracks, to watch videos, to create a blog (biography, events, concerts,…), to participate in forums, chat rooms and competitions, to send emails, to consult the directory of partners,…
Article 3 Registration
Only such persons who have duly completed the account creation form published online by Music Democracy and who have given their unconditional consent to these Terms of Use can make full use of the Services provided on the Site.
Users have to submit their family name, first name, postal address, email and phone number for each account set up. Music Democracy will then attribute a strictly personal and confidential username and password to each User who registers.
An internal email box on the Site will be made available to the User solely for private and family use. These email box addresses cannot be transferred on to any other person. The username and password information remains the responsibility of the User.
The User agrees to immediately inform Music Democracy if the User has any reason to believe that his username or password has become known to anyone else and/or is being used or is likely to be used by someone else in an unauthorised manner.
Music Democracy reserves the right at its sole discretion to refuse a registration for use of the Site and Services without having to justify such refusal. Reasons for refusal include non-respect of the present General Terms and Conditions of Use, or non-respect of other legal or statutory regulations.
Users agree to provide and update, as from the moment of registration (unless otherwise stated), complete and accurate personal details and information.
Details provided to Music Democracy by Users shall remain strictly confidential, except in the case of a request for said information by a competent judicial or administrative authority.
Registration on the Site is free of charge.
Users can only use the Site and Services (blog, forum, chat rooms, emails,…) for lawful purposes; in particular Users can not use the Site or Services to transmit or store inappropriate content or Offensive Content, which for the purposes of these Terms of Use shall include:
- material which infringes on the copyright or other intellectual property right of any third party, or otherwise infringes on the rights of any third party, including, but not limited to, rights of privacy and confidence;
- defamatory, libellous, offensive or abusive material; pornographic, paedophilic, or indecent material; racist material or material of an obscene or menacing character; or
- any content vindicating certain crimes, in particular murder, rape, war crimes and crimes against humanity;
- any content likely by its nature to undermine the respect for human dignity, the equality of women and men and the protection of children and adolescents;
- any content which could constitute or be construed as, without limitation: abetting crimes and offences; incitement to suicide; incitement to the use of drugs or prohibited substances; incitement to commit assassination attempts; provocation to discrimination; hatred or violence because of the origin, the colour of skin, the sex, the sexual orientation, the family circumstances, the health, a handicap, morals, political or philosophical opinions, trade-union activities, membership or non-membership, whether real or assumed, of an ethnic group, a people, a race or a given religion;
- any content demonstrating or inciting cruelty toward animals;
- any content which contains computer viruses, or which is in any way susceptible to damaging database sytems;
- any content which attempts to obtain paswords or personal information for commercial or illegal purposes;
- any content containing advertising or commercial aims.
Emails on Music Democracy’s servers will be stored up to a limit of 100 Megaoctets, beyond which point all new messages will be refused.
In accordance with international law on the communication of information, Music Democracy may communicate the content of User emails to the relevant authorities.
Music Democracy will not be held responsible for the integrity of the content expressed within the blogs and/or email accounts of Users.
By explicit accord, Users will not make use of their Music Democracy email account to send bulk or unsolicited messages.
Article 4 Duration of Registration, Conditions of De-Registration
Any registration on the Site is valid for one calendar year, renewable year on year by tacit agreement.
Musicians and Users can at any time cancel their registration from the Site. De-Registration can be made effective simply by sending an email request to the following address: contact@musicdemocracy.com.
De-Registration will have the following consequences: all the data from the User's personal space will be irretrievable and the User’s electronic bank account on the Site will be terminated. All outstanding sums will be paid to the User.
Article 5 Intellectual property
All rights related to the Site, concepts and content that do not belong to Users, are, without limitation, the exclusive and protected intellectual property of Music Democracy.
To this end and in conformity with the conditions stipulated in the Intellectual Property Code, authorization for use of the content on the Site is reserved solely for private use. Unless otherwise specified, Music Democracy grants no license or authorisation relating to the intellectual property rights that it has on the Site. No reproduction of the elements of the Site, whether in whole or partial, in whatsoever form and by whatsoever means is permitted without the prior written approval of Music Democracy. Any resale or hire or lending of files is strictly prohibited.
Clients and Users benefit from the authorisation for personal use of files, including musical files posted by other Users, in a strictly private context. Any use of content outside the above-mentioned context is strictly prohibited, any misuse of content exposes the web surfer to civil and/or penal court proceedings.
Specifically, Users are prohibited from using the Music on the Site for any other means than those permitted by law, including copyright law. Accordingly, the rights of authors, the rights of Music Democracy and the rights of third parties should not be infringed.
By the same token, Music Democracy reminds web surfers that any action which may impede the integrity or correct functioning of the Site engages the responsibility of those who commit these actions.
Article 6 Cookies
To ensure the optimal functioning of the Site, cookies are installed on the computer hard disk of Users. These cookies enable Music Democracy to identify visitors at each connection, to provide custom, personalized content and information (such as news of special events), or to help establish statistics about the use of the site by its visitors.
Users can oppose the deployment of cookies, or request a warning before accepting the presence of cookies, by setting-up their navigators as follows:

Article 7 Links to other websites
Music Democracy does not make any warranties, representations or undertakings about the content of any other website which may be referred to or accessed by hypertext link within the Site, and Music Democracy does not endorse or approve the content of such third party websites.
Article 8 Alerts of illicit activity
Any person who notices offensive or illicit content, or who notices any content in breach of the present Terms of Use, may notify Music Democracy of the existence of such content by contacting the following email address: alert@musicdemocracy.com.
Any User found to have made an abusive notification of illicit activity, malpractice or misuse, with the aim of obtaining the removal of content from the Site, and such notification is proven to be unjustified or inexact, said User is liable to one year’s imprisonment and a fine of 15,000 Euros.
Article 9 Written Notification
Unless expressly stated otherwise, all written notification to Music Democracy must be addressed by mail to the following postal address:

Article 10 Personal Data
Any personal data collected and recorded on the Site is subject to a declaration to the French CNIL, under the number 1326350, and is done so strictly in the context of the management of customer relations issues, in accordance with the French law no. 78-17, below. All data is treated as such in the strictest confidence.
Pursuant to the January 6th, 1978 French law no. 78-17 (modified on August 6th, 2004), known as the "Data Protection and Civil Liberty Law" regarding files and liberties, any User may exercise his or her right to access, modify, rectify and/or suppress any data relative to his or her person. These rights may be exercised by simple written request to Music Democracy in accordance with Article 9 in the present Terms of Use.
The entity responsible for the handling of personal data is the Music Democracy company.
Music Democracy employs all normal and measured technical means to ensure the prevention of unsollicted access to personal data by third parties.
In the context of commercial partnerships, Music Democracy may transfer certain data to third parties, but solely when express permission to this end has been granted by the User upon acceptance of terms to this effect when registering, or granted by the User at a later date.
Article 11 Payment
11.1 Service
The minimum price for the music (track, album, groups of tracks) is defined by the Musician, except for musicians under contract with collection societies where each song is sold for a minimum of 0.5 credit (there is however no fixed maximum price for the User). The portion allocated to the Musician corresponds in general to 60% - tax inclusive - of the transactions completed in his or her favour. The sum may vary acccording to the status of the Musician (professional or amateur), and/or his or her country of origin, notably due to aspects associated with VAT, local taxes, etc.
Prices displayed on the Site are expressed in credits, one credit equals one euro.
The totality of the transactions is accumulated on the electronic account of the Musician and is paid every two calendar months into his or her paypal account (cf. article 11.4).
The User must be registered on the Site in order to be able to purchase music.
Users credit their accounts using the means of payment made available on the site, as defined in article 11.3. Once the transaction has been completed, the sums of the transaction are considered to be aquired by Music Democracy. Users may credit their accounts for sums ranging from 10 to 50 credits, divisible by 1 credit.
11.2 Prices and purchasing procedure
The price of the music available for download on the Site is displayed inclusive of all tax, this price is indicated on the Site on the Musician profile pages (price of tracks and bundles) . The User selects the tracks he or she wishes to purchase and adds them to his music basket. The detail and total sum of the purchases is indicated in the music basket. When Users validate the purchase of the music in the basket, they will be debited the corresponding number of credits from their electronic account with Music Democracy, provided this account has received prior credit.
The taxes applied are those which apply by law at the time of the transaction. Any alterations to tax law will modify the price passed on to Users, and will take effect as from the official change in tax legislation.
11.3 Means of payment for Users
Via credit card (Visa, Mastercard, carte bleue or Eurocard):
Users credit their account via their bank card. This secure transaction is managed by an accredited third party financial organisation. Transaction and/or currency exchange fees, where applicable, are payable by the User.
Via PayPal:
Users may take the option of paying via a PayPal account. To do so, simply select this mean of payment by clicking on the PayPal icon on the Site. More information can be found on the http://www.paypal.com website. Transaction and/or currency exchange fees, where applicable, are payable by the User.
11.4 Means of remuneration for Musicians
Via PayPal :
Musicians will need to have a Paypal account. The sum of the accumulated gains will be credited to each Musician’s Paypal account every two calendar months, provided the total sum of these gains has reached a minimum of 10 credits. If the total sum has not reached 10 euros after two months, the sum will be carried over to the next two months, then subsequent periods until the 10 euros minimum is reached. If the Musician cancels his or her registration on the Site, the totality of the remainder due to the Musician will be credited to his or her Paypal account, even if the sum owed is less than 10 euros. Any transaction or currency exchange fees, if applicable, will be met by the Musician.
11.5 Consequences of late payment
It is agreed expressly that any incident and/or delay to payment (cancellation of credit card payment, bank rejection, lack and/or withholding of funds…) will entail full rights for the immediate engagement of the following procedure:
- The application of an interest rate of 12% or a rate not inferior to one and a half times the legal French interest rate;
- The suspension of use of the whole or parts of the Site by the User account, without prejudice to Music Democracy, and without the implementation of the full User de-registration process.
Any disagreement concerning billing or the nature of services provided may be expressed by email to contact@musicdemocracy.com within a time limit of one month after the transaction.
In the case where Music Democracy is forced to engage expenditure, the User will be informed - with proper justification of the claim and corresponding receipts.
The User shall then reimburse the sums due via a bank cheque in Euros.
Article 12 Liability
Music Democracy will not be responsible in the event of interruptions to the Service, delays, errors, malfunctions and, in general, any other inconvenience generated by causes beyond the control of Music Democracy, and/or due to the temporary or definitive suspension of the Service as a result of actions brought by competent administrative or judicial authorities, failures of broadcast transmission networks or due to non-respect by the Authors or Users of the present Terms of Use.
The Services provided by Music Democracy are governed by the stipulations and guidelines of French law n°2004-575 of June 21st, 2004, relative to the Confidence in the Digital Economy (pour la confiance dans l'économie numérique - LCEN). To this end, Music Democracy in its quality of webhost as described in the article 6-I-2 of the above law, does not guarantee or assume any kind of responsibility for Content links from the Site or Content placed on the Site, upon which Music Democracy has no power of control nor any general obligation of surveillance.
Users of the Site acknowledge and expressly accept that the information contained on the personal pages of Users is posted at the sole initiative and at the sole responsibility of the User. Users must conform to all appropriate rules and laws relating to the prevention, limitation, and reglementation of the dissemination of information, notably: the respect of privacy, the respect of intellectual property rights,….
Users of the Site recognise and formally accept that Music Democracy will in no case be held, directly or indirectly, responsible by Users for any damages:
- in the event of interruptions to the service, or any other inconveniences generated by causes beyond its control, and/or are due to fraudulent or condemnable conduct by the User;
- in the event of perturbations or interruptions in the services or in the provision of telecommunications media provided by networks to which Music Democracy technical installations are linked, notably in the case of malfunctions of the local operator network;
- relative to any commercial hampering, loss of fans, commercial difficulty, loss of profits, libel or any action taken against the User by any other party due to the provision of Services by the Site;
- relative to the loss of data on the Site;
- suffered by a User or a third party due to the actions of another User or third party.
Article 13 Applicable law and jurisdiction
Any dispute relating to the use of the Site or Music Democracy services, withstanding the present Terms of Use, shall, to the extent permitted by law, be governed by French law.
In the case where a dispute may arise between parties relating to the execution or interpretation of the present Terms of Use, it is understood that the party concerned shall undertake to give written notice to the other of the cause for complaint by registered post with confirmation of receipt of delivery.
Any party, subsequent to a period of ten working days following receipt of the aforementioned written notification, may then engage in any appropriate legal proceeding.The competent courts of the city of LILLE, France, shall have exclusive jurisdiction for the resolution of any such disputes.

Est intitulé « le musicien » ou « l’artiste » le responsable du compte ouvert au titre du musicien. Il sera notamment responsable de la ventilation des sommes perçues aux ayants droits respectifs (auteur, éditeur, producteur,…) en fonction des contrats qui les lient. Le musicien devra préciser s’il est sous contrat avec une société de collecte (SACEM, PRS, GEMA, ASCAP,…). Il devra indiquer au minimum le nom des auteurs compositeurs de chaque morceau chargé sur le site. Dans le cas où il n’est pas affilié à une société de collecte, il devra avoir obtenu au préalable l’accord des ayants droits de l’ensemble des morceaux mis en ligne.
L'utilisation des services associés à l’ouverture d’un compte sur le site « musicdemocracy.com » est réservée aux personnes dotées de la capacité et du pouvoir nécessaires pour s'engager dans les termes des présentes conditions générales d'utilisation.
Article 1 Objet
Les présentes conditions générales d'utilisation ont pour objet de préciser les modalités d'utilisation des services proposés sur le site « musicdemocracy.com » (transfert de musique, blog, forum, tchat, email, …).
Ce site propose de mettre à la disposition de l'Utilisateur des morceaux musicaux en extrait ou en intégralité à télécharger, de façon payante ou gratuite, dénommés dans les présentes sous le terme générique : la « Musique ».
La Musique est mise à la disposition de MUSIC DEMOCRACY par son Auteur, qui souhaite en assurer la diffusion en ligne par le biais du site Internet "musicdemocracy.com".
Article 2 Détails des services proposés
Le site « musicdemocracy.com» est accessible librement sans inscription préalable mais en service restreint. L'Utilisateur peut simplement mais librement écouter des extraits musicaux de chansons, visionner des extraits de clips diffusés sur le site.
L’inscription au site permet à l'Utilisateur selon qu’il soit internaute, musicien, ou partenaire, de bénéficier des modules de transfert de chansons, de télécharger des chansons, d’écouter des extraits de morceaux musicaux, de visionner des clips vidéo, de créer son blog (biographie, événements, concert,…), de participer à différents forums, tchats ou à des jeux concours, d’envoyer des emails, de consulter l’annuaire des partenaires, ….
Article 3 Inscription
L'utilisation des services de MUSIC DEMOCRACY nécessite la création d'un compte sur le site « musicdemocracy.com ».
Les Utilisateurs s'engagent à communiquer lors de toute création de compte leurs nom, prénom, adresse complète, email et numéro de téléphone. Ils se verront alors remettre par MUSIC DEMOCRACY un identifiant et un mot de passe strictement personnels et confidentiels.
Une boîte email interne au site est attribuée à l’usage exclusif de chaque Utilisateur pour une utilisation dans un cadre familial ou professionnel. Ces boîtes email ne peuvent être cédées à aucun titre.
Les Utilisateurs sont seuls responsables de leurs identifiant et mot de passe. Ils s'engagent à ne pas les communiquer à des tiers et à notifier à MUSIC DEMOCRACY toute perte ou vol de leurs identifiant ou mot de passe.
MUSIC DEMOCRACY se réserve la possibilité de refuser toute inscription, et/ou de suspendre et interrompre sans préavis l'utilisation de tout ou partie de son site, notamment en cas de non-respect des présentes conditions générales d'utilisation ou de toute disposition légale ou réglementaire en vigueur.
Les Utilisateurs s'engagent à fournir, lors de leur inscription, sauf accord contraire, des informations personnelles exactes et complètes, et à les mettre à jour régulièrement.
Les informations communiquées sont tenues confidentielles par MUSIC DEMOCRACY, sauf requête d'une autorité judiciaire ou administrative compétente.
L'inscription sur le site Internet « musicdemocracy.com » est gratuite.
L'Utilisateur s'engage expressément, sous peine de voir sa responsabilité pénale ou civile engagée, à ce que les messages qu'il diffuse (blog, forum, tchat, email, …) :
- ne constituent pas une violation d'un droit de propriété intellectuelle,
- ne portent pas atteinte à la vie privée ou au respect de la dignité des tiers,
- n'incitent ni à la violence, ni au crime, ni à la haine raciale, ni à la haine en raison de la religion, de la race, du sexe, de l'orientation sexuelle ou de l'ethnie de tiers, ni au suicide,
- ne font pas l'apologie de crimes, ne tiennent pas de propos à caractère diffamatoire, pornographique, obscènes, haineux, racistes, xénophobes, révisionnistes ou contraires à l'ordre public ou aux bonnes mœurs,
- ne contiennent aucun virus informatique, et ne sont pas, de façon générale, susceptibles de porter atteinte à un système de traitement automatisé de données,
- ne sollicitent ni ne communiquent des mots de passe ou des informations personnelles à des fins commerciales ou illégales,
- ne tiennent pas de propos à caractère publicitaire ou commercial.
Les messages électroniques sont conservés sur les serveurs de MUSIC DEMOCRACY jusqu’à une limite de 100 mégaoctets, au-delà les nouveaux messages seront automatiquement refusés.
Dans le respect des textes sur l’interception des correspondances, MUSIC DEMOCRACY peut communiquer le contenu des courriers électroniques des Utilisateurs aux autorités.
MUSIC DEMOCRACY dégage toute responsabilité sur l’intégrité des messages déposés sur les blogs ou dans les boîtes email des Utilisateurs.
De convention expresse, le client ne se servira pas de sa messagerie pour envoyer des messages en grand nombre ou à des personnes qui ne désirent pas en recevoir.
Article 4 Durée et résiliation
L'inscription effectuée sur le site « musicdemocracy.com » est valable un an, renouvelable pour une durée identique par tacite reconduction.
Le Musicien et l’utilisateur peuvent à tout moment se désinscrire du site « musicdemocracy.com ». Il doivent pour cela en faire la demande par email à l’adresse contact@musicdemocracy.com.
Cette désinscription aura pour effet d’effacer toutes les données de l'Utilisateur enregistrées sur le site et soldera son compte bancaire électronique..
Article 5 Propriété intellectuelle
Le Contenu proposé par MUSIC DEMOCRACY sur son site Internet, fait l'objet d'une protection par le droit de la propriété intellectuelle.
A ce titre et conformément aux dispositions du Code de la propriété intellectuelle, seule l'utilisation pour un usage privé sous réserve de dispositions différentes voire plus restrictives du Code de la propriété intellectuelle est autorisée. Toute reproduction totale ou partielle du site de MUSIC DEMOCRACY à d'autres fins que son utilisation conforme à sa destination et/ou de ses éléments est strictement interdite. Toute revente, ou louage des fichiers à un tiers, sont strictement interdits.
Le client ne bénéficie quant à lui que d'un droit d'utilisation personnel de ces fichiers et limité aux indications fournies au moment de la sélection des fichiers musicaux, dans un cadre strictement privé et gratuit Toute utilisation hors le cadre des présentes est strictement prohibée et toute utilisation à des fins autres que privées expose l’utilisateur à des poursuites judiciaires civiles et /ou pénales.
D’une manière générale, l’utilisateur s'interdit toute exploitation de la Musique qui ne serait pas conforme aux lois et règlements en vigueur, ou porterait atteinte aux droits de tiers, et en particulier aux droits des Auteurs ou de MUSIC DEMOCRACY.
De même, MUSIC DEMOCRACY rappelle que toute atteinte portée à l'intégrité ou au bon fonctionnement du site « musicdemocracy.com » est susceptible d'engager la responsabilité de l'Utilisateur.
Article 6 Cookies
Pour le bon fonctionnement du site « musicdemocracy.com », des cookies sont installés sur le disque dur de l'ordinateur de l'Utilisateur. Article 7 Liens vers d’autres sites
Le site « musicdemocracy.com » renvoie parfois à des sites extérieurs sur lesquels il ne peut être exercé aucun contrôle et pour lesquels aucune responsabilité de MUSIC DEMOCRACY ne peut être engagée.
Article 8 Procédure d'alerte
Chaque Utilisateur a la possibilité de signaler à MUSIC DEMOCRACY, tout contenu portant atteinte aux règles énoncées aux présentes, ou plus généralement, qu'il considérerait comme présentant un caractère illicite. Il suffit pour cela de contacter MUSIC DEMOCRACY à l'adresse suivante : alert@musicdemocracy.com.
Tout Utilisateur procédant à la dénonciation abusive d’un contenu ou d’une activité, dans le but d’en obtenir le retrait ou d’en faire cesser la diffusion, alors qu’il sait cette information inexacte, encourt une peine d’emprisonnement d’une année et 15.000,00 Euros d’amende.
Article 9 Notification
Sauf stipulation expresse contraire, toute notification envoyée à MUSIC DEMOCRACY doit être adressée par courrier postal à :

Article 10 Données personnelles
MUSIC DEMOCRACY informe les Utilisateurs que leurs données sont enregistrées, et font l'objet d'une déclaration auprès de la CNIL sous le n° 1326350, conformément aux dispositions de la loi n°78-17 du 6 janvier 1978 modifiée, à des fins de gestion de la relation clients. Toutes les données personnelles qui sont recueillies sont traitées avec la plus stricte confidentialité.
Sous réserve de justifier de leur identité, les Utilisateurs disposent d'un droit d'accès, de modification, de rectification ou de suppression de leurs données collectées, par notification adressée à MUSIC DEMOCRACY dans les conditions prévues à l'article 6 des présentes.
Le responsable du traitement des données à caractère personnel est la société MUSIC DEMOCRACY.
MUSIC DEMOCRACY met en œuvre les moyens techniques mesurés et normaux, afin d'empêcher l'accès aux données personnelles par des tiers.
Dans le cadre de partenariats commerciaux, MUSIC DEMOCRACY pourra transmettre certaines données personnelles à des tiers uniquement si l'Utilisateur l'accepte, lors de son inscription ou ultérieurement.
Article 11 Paiement
11.1 Offre
Le prix minimum des musiques (morceau, album, groupement de morceaux) est défini par le musicien , sauf dans le cas des musiciens affiliés à des sociétés de collecte où chaque morceau sera vendu au minimum 0.5 credit (il n’y a en revanche pas de prix maximum pour l’utilisateur). La part reversée au musicien correspond en général à 60% TTC des transactions réalisées en sa faveur. Il peut néanmoins varier en fonction de son statut (professionnel ou particulier) et de son pays d’origine, notamment sur des aspects de TVA, taxes locales, …
Les prix affichés sur le site sont définis en crédits, sachant qu’un crédit égale un euro.
La totalité des transactions sont cumulées sur le compte électronique du musicien et reversées tous les deux mois sur son compte paypal (voir article 11.4).
L’utilisateur doit être inscrit sur le site afin de pouvoir acheter les musiques.
Il crédite son compte par l’intermédiaire des moyens de paiement mis à sa disposition sur le site tels que définis à l’article 11.3. Une fois la transaction réalisée, le montant de la transaction est considéré comme étant acquis à MUSIC DEMOCRACY. Il peut créditer son compte pour un montant allant de 10 à 50 crédits par pas de 1 crédit.
11.2 Tarifs et méthode d’achat
Le prix des musiques disponibles en téléchargement est affiché toutes taxes comprises sur le profil du musicien (prix des tracks et des bundles). L’utilisateur sélectionne les morceaux qu’il souhaite acheter et les ajoute dans son panier. Le récapitulatif détaillé de ses achats apparaît dans son panier. Au moment de la validation de l’acte d’achat, son compte électronique est défalqué du montant global de la transaction, sous réserve que celui-ci soit crédité en conséquence.Les taxes appliquées sont celles que prévoit la réglementation en cours. Au cas où celle-ci serait modifiée, la nouvelle réglementation serait mise en application à la date officielle de son entrée en vigueur.
11.3 Modalités de paiement de l’utilisateur
Par carte bancaire (Visa, Mastercard, carte bleue ou Eurocard) :
L’Utilisateur crédite son compte par carte bancaire. La transaction sécurisée est réalisée par l’intermédiaire d’un organisme financier dûment habilité. Les frais de transaction et de change sont à la charge de l’utilisateur.
Par PayPal :
L’Utilisateur peut opter pour un paiement par PayPal. Il suffit pour cela de sélectionner ce mode de paiement en cliquant sur le symbole PayPal. Plus d’infos sont disponibles sur le site http://www.paypal.fr. Les frais de transaction et de change sont à la charge de l’utilisateur.
11.4 Modalités de reversement au musicien
Par PayPal :
Le musicien devra disposer d’un compte paypal. Le montant des gains cumulés lui est reversé tous les deux mois sur son compte paypal, sous réserve d’atteindre un minimum de 10 crédits. En cas de non atteinte de ce minimum, le montant acquis se cumulera au montant acquis les deux mois suivants et ce jusqu’à l’atteinte de ce minimum de 10 crédits. En cas de résiliation de compte par le musicien, le solde de son compte lui est reversé sur son compte paypal, même dans l’hypothèse où le crédit de son compte serait inférieur à 10 crédits. Les frais de transaction et de change sont à sa charge.
11.5 Conséquence d’un retard de paiement
De convention expresse, tout incident et/ou retard de paiement (annulation du paiement par carte, défaut de provision et/ou rejet …) entraînera de plein droit et sans mise en demeure préalable :
- L'application d'un intérêt de retard à un taux égal à 12% sans que celui-ci ne puisse être inférieur à une fois et demi le taux de l’intérêt légal français ;
- La suspension de l’utilisation de tout ou partie du site par le compte Utilisateur, sans préjudice pour MUSIC DEMOCRACY d'user de la faculté de désinscription de l’Utilisateur.
Tout désaccord concernant la facturation et la nature des services devront être exprimés par courrier électronique à l'adresse contact@musicdemocracy.com dans un délai d'un mois après émission du bon de commande.
Dans l'hypothèse où des frais seraient exposés par MUSIC DEMOCRACY, cette dernière en informera l’Utilisateur et lui communiquera les justificatifs et la facture correspondant. L’Utilisateur pourra alors régler la somme due par chèque en Euros.
Article 12 Responsabilité
MUSIC DEMOCRACY ne sera en aucun cas tenu responsable de tout manquement aux obligations résultant des présentes du fait de cas de force majeure, de faute, négligence ou omission d'un tiers sur lequel MUSIC DEMOCRACY n'a aucun pouvoir de contrôle ou de surveillance, d'une demande d'interruption temporaire ou définitive du service émanant d'une autorité administrative ou judiciaire compétente, d'une défaillance des réseaux de transmission, ou du non-respect par les Auteurs et les Utilisateurs des présentes conditions générales.
Les services proposés par MUSIC DEMOCRACY relèvent notamment des dispositions de la loi n°2004-575 du 21 juin 2004, pour la confiance dans l'économie numérique (LCEN). À ce titre, MUSIC DEMOCRACY en sa qualité d’hébergeur au sens de l’article 6-I-2 de la loi précitée ne saurait être tenue responsable des contenus transmis ou mis en ligne par les internautes sur le site « musicdemocracy.com » et sur lesquels MUSIC DEMOCRACY n’exerce aucun pouvoir de contrôle ni n’est tenue à aucune obligation générale de surveillance.
L’Utilisateur est seul et entier responsable du contenu qu’il met en ligne. Il s’engage à se conformer à toutes les règles ou règlements qui pourraient empêcher, limiter ou réglementer la diffusion d’une information, notamment à titre d’exemple : le respect de la vie privée, le respect des droits de propriété intellectuelle dont le droit d’auteur, …
L’Utilisateur du site « musicdemocracy.com » reconnaît et accepte formellement que la responsabilité de MUSIC DEMOCRACY ne saurait être directement ou indirectement retenue, à quelque titre que ce soit, pour les dommages :
- liés à une interruption de la délivrance des services objet des présentes indépendante de sa volonté et/ou motivée par un quelconque comportement fautif des Utilisateurs ;
- liés à tout préjudice commercial, perte de fans, trouble commercial, perte de bénéfice, atteinte à l’image ou action dirigée contre l'Utilisateur par qui que ce soit du fait de la fourniture des services proposés par le site ;
- en cas de perturbation ou d’interruption dans la fourniture ou l’exploitation des moyens de télécommunication fournis par le ou les exploitants des réseaux auxquels sont raccordées les installations de MUSIC DEMOCRACY, et notamment en cas de dysfonctionnement du réseau de l’opérateur local ;
- liés à la perte de toutes données présentes sur le site ;
- subis par un Utilisateur ou un tiers du fait d’un autre Utilisateur ou de tout autre tiers.
Article 13 Litige et juridiction compétente
Les présentes conditions générales d’utilisation du site « musicdemocracy.com » sont soumises à la loi française.
Pour le cas où un litige naîtrait entre les parties du fait de l'exécution ou de l'interprétation des présentes, les Parties conviennent préalablement à toute action en Justice que toute réclamation fera l'objet d'une mise en demeure préalable par courrier recommandé avec demande d'avis de réception.
Toute Partie pourra ensuite après un délai de dix jours suivant l'envoi du courrier visé à l'alinéa précédent, engager toute procédure utile, compétence expresse étant attribuée aux juridictions de la ville de LILLE.
